Abstract

Zusammenfassung Die Übertragung von Geschäftsanteilen auch einer gemeinnützigen GmbH erfolgt schuldrechtlich durch Kauf, Schenkung oder Treuhandvertrag – dinglich im Wege der Abtretung. Beides, schuldrechtliches und dingliches Geschäft, bedürfen der notariellen Beurkundung (§ 15 Abs. 3 und 4 GmbHG). Die Beurkundungspflicht bildet die erste (gesetzliche) Einschränkung des Grundsatzes der freien Verfügung über Geschäftsanteile. Geschäftsanteile können aber auch von Todes wegen übergehen. Insoweit bedürfen die Verträge zur Gründung einer gGmbH einer Regelung zur Nachfolge in die Geschäftsanteile, zumal das Erbrecht hier dem Gesellschaftsrecht folgt. Satzungsänderungen können zum Fortfall der Gemeinnützigkeit führen, sie können aber auch eine nicht gemeinnützige GmbH in eine gemeinnützige GmbH „umwandeln“. Schließlich sind auch die Folgen des Endes der gemeinnützigen GmbH zu bedenken.
