Abstract

Zusammenfassung Die gemeinnützige GmbH tritt seit Jahren als Instrument des zivilgesellschaftlichen Engagements immer stärker in Erscheinung. Die gemeinnützige GmbH (oder gemeinnützige UG) zeichnet sich durch klare (unternehmerische) Organstrukturen und Verantwortlichkeiten sowie eine geringere Regulierungsdichte aus. Sie eignet sich vor allem für gemeinnütziges Engagement, das zumindest partiell im unternehmerischen Bereich angesiedelt ist. Unternehmerisches Engagement für gesellschaftliche Belange ist vielfältig und die Abgrenzung zwischen Eigen- und Gemeinwohl nicht immer in aller Trennschärfe erkennbar: Es beginnt beim Sponsoring sportlicher oder kultureller Veranstaltungen, wird wahrgenommen durch gezielte Spenden und soziale Förderprojekte sowie unternehmenseigene Stiftungsaktivitäten (Unternehmensstiftungen); unternehmensintern findet es seine Bestimmung in Gestalt guter Unternehmensführung oder auch unter dem Begriff der Corporate Social Responsibility. An dieser Schnittstelle zwischen zivilgesellschaftlicher Verantwortung und wirtschaftlicher Betätigung liegt die Bedeutung der gemeinnützigen GmbH – mit ihr lassen sich unternehmerische und gemeinnützige Zwecke wie bei keiner anderen Rechtsform miteinander verbinden.
