Defining Governance and Organization

Abstract

In Chapter 9, the task of defining governance and organization is discussed. First, the two terms are clarified, and it is shown that they are complementary. Governance is then discussed, in particular the relationship between the supervisory and the executive board. The determination of the general organization is discussed based on three examples—a large bank, a technology group, and a chemical group. This is followed by brief statements on the management of participations and partnerships before concluding with a clarification of the responsibilities of the supervisory and executive boards.
