Abstract

Zusammenfassung Von US-amerikanischen Übernahmen sind in Deutschland schätzungsweise 130 bis 140 mittelständische Unternehmen pro Jahr betroffen. Die Auswirkungen einer solchen Übernahme sind über Jahre spürbar. Allein der Change-Prozess in der Integrationsphase dauert eineinhalb Jahre, in der Regel länger. In dieser Zeit muss die Unternehmensführung zusammen mit der Belegschaft gravierende Veränderungen bewältigen und gleichzeitig das Tagesgeschäft aufrechterhalten. Business as usual ist unter diesen Vorzeichen nicht mehr möglich. Viele Führungskräfte werden davon überrascht, wie schnell das Unternehmen unter Druck gerät. Durch die Vorgaben zur Rechnungslegung wird Finance zum Treiber von Veränderung. Die kritische Phase beginnt bereits mit dem ersten Monatsabschluss. Darauf sollten Führungskräfte und Mitarbeiter vorbereitet sein. Doch bei vielen Verkäufen mittelständischer Unternehmen an ausländische Konzerne wird diese Chance noch nicht genutzt. Der Beitrag erläutert die Herausforderungen und zeigt Lösungsansätze auf.
