Abstract

Zusammenfassung In diesem Kapitel werden zunächst überblicksartig die allgemeinen rechtlichen Vorgaben für das Vorstandshandeln dargestellt (s. Abschn. 4.1). Bis vor wenigen Jahren befasste sich die juristische Literatur vornehmlich mit der Frage, ob der Vorstand überhaupt nachhaltigkeitsorientiert handeln darf (s. Abschn. 4.2). Mittlerweile verschiebt sich der Schwerpunkt in Richtung der Frage, ob der Vorstand nachhaltigkeitsorientiert entscheiden muss (s. Abschn. 4.3). In diesem Zuge werden wir nachhaltigkeitsbezogene Aufgaben des Vorstands identifizieren. Im zweiten Teil dieses Kapitels werden wir untersuchen, welche Vorgaben für die Binnenorganisation des Vorstands bestehen (s. Abschn. 4.4). Welche Aufgaben können delegiert werden und welche nicht? Darauf aufbauend wollen wir mögliche Varianten der Binnenorganisation für die zuvor ausgemachten nachhaltigkeitsbezogenen Aufgaben darstellen (s. Abschn. 4.5).
