Abstract

Zusammenfassung Im Grundsatz folgt die Übernahme einer börsennotierten Immobilienaktiengesellschaft den Regeln, die für sämtliche börsennotierten Aktiengesellschaften gelten (zu dem besonderen Fall der Übernahme einer REIT AG s. unten Abschn. 8.4). Sie richtet sich daher nach den Vorschriften des Wertpapiererwerbs- und Übernahmegesetzes (WpÜG) sowie den ergänzenden Bestimmungen der WpÜG-Angebotsverordnung. Da es sich bei einem öffentlichen Übernahmeangebot stets um einen Anteilserwerb (sog. Share Deal) handelt, bedarf es grundsätzlich keiner gesonderten Übertragungstatbestände seitens des Erwerbsinteressenten, um insbesondere die in Eigentum und Besitz der Zielgesellschaft stehenden Immobilien zu erwerben. Das öffentliche Angebot eines Bieters zum Erwerb von Aktien an einer börsennotierten Aktiengesellschaft lässt sich im Wesentlichen in drei Phasen unterteilen: die Vorbereitungs-, die Durchführungs- und die Integrationsphase. Grundsätzlich gelten diese Erwägungen auch für einfache Erwerbsangebote.
