Abstract

The due diligence questionnaire is the actual application of the due diligence plan. The questionnaire is created by compiling a series of questions regarding the business cornerstones, topics, and issues identified in the plan. The information and documents provided in response to the questionnaire are used to elaborate and corroborate the financial, legal and business operations picture that the subject company has given a potential purchaser or investor concerning its business, valuation, and personnel. The questions are designed to elicit the information that provides the requisite level of comfort to proceed with the transaction, exposes issues that counsel against proceeding, or suggests the need to revise the terms of the deal.
