Abstract

This chapter presents an overview of the role of the board in corporate social responsibility (CSR) and analyzes, through a literature review, two CSR-related governance mechanisms: CSR board committees and executive compensation for CSR. The literature provides evidence of the possible use of these two corporate governance tools as effective or symbolic mechanisms. Based on challenges regarding CSR, we put forward ideas and directions for future research.
