Mitarbeiterbeteiligung unter Verwendung einer Beteiligungsgesellschaft: Gestaltung und Finanzierungsansätze

Abstract

Die finanzielle Beteiligung der Mitarbeiter am Arbeit gebenden Unternehmen ist in den letzten 30 Jahren in Europa zu einem wichtigen politischen Thema geworden. Jedoch nutzen in Deutschland sowohl Unternehmen als auch Arbeitnehmer insbesondere die Mitarbeiterkapitalbeteiligung im europäischen Vergleich nur unterdurchschnittlich. Die vorliegende interdisziplinär angelegte Forschungsarbeit behandelt die Mitarbeiterkapitalbeteiligung unter Verwendung einer Beteiligungsgesellschaft, wobei die Situation der Unternehmensnachfolge besonders berücksichtigt wird. Im Gegensatz zu herkömmlichen Beteiligungsmodellen bietet dieses in Deutschland bisher selten praktizierte Konzept vor allem hinsichtlich der gesellschaftsrechtlichen Mitwirkungsrechte für Arbeitnehmer Potenzial. Das Buch leistet in Form einer erstmaligen systematischen Analyse der arbeitsrechtlichen, gesellschaftsrechtlichen, finanzwirtschaftlichen und steuerlichen Aspekte eines solchen Modells einen wichtigen Beitrag zur praktischen Umsetzung sowie zu einer weiterführenden Debatte. Rechtspolitische Empfehlungen zielen auf eine Reform des Mitarbeiterkapitalbeteiligungsgesetzes.
