Abstract

"Zwei sind weniger als vier", aber Drittelbeteiligung ist nicht gleich Drittelbeteiligung. So lauten die Ergebnisse der Untersuchung der Sozialforschungsstelle zum Betriebsverfassungsgesetz 1952. Eine rechtliche Hilfestellung für diese Aufsichtsräte soll diese ganz auf die Besonderheiten dieses Bereichs zugeschnittene Broschüregeben. Die Organisations-und Verfahrensregeln des Aufsichtsrats, seine Informations-, Gestaltungs-und Kontrollrechte werden erläutert. Die Neuauflage berücksichtigt die gesamte Debatte zu Corporate Governance in Deutschland. Das Transparenz- und Publizitätsgesetz vom Juli 2002 - mit zahlreichen Neuerungen für alle Aufsichtsräte, der Corporate Governance Kodex, das Drittelbeteiligungsgesetz 2004 und die Rechtsentwicklung seither wurden eingearbeitet.
