Abstract

Mitbestimmungsgesetz '76 und Aktiengesetz kennen und ohne Illusion als Arbeitnehmervertreter ausschöpfen. Dies war seit der ersten Praktizierung die Parole.Eine Hilfestellung dazu im Sinne einer einführenden Darstellung soll diese - gegenüber der ersten Auflage völlig überarbeitete - Broschüre geben.Die Organisations- und Verfahrensregeln des Aufsichtssrats seine Informations-, Gestaltungs- und Kontrollrechte werden erläutert. Die Neuauflage berücksichtigt die gesamte Debatte zu Corporate Governance in Deutschland. Vom Transparenz- und Publizitätsgesetz vom Juli 2002 - mit zahlreichen Neuerungen für alle Aufsichtsräte, der Corporate Governance-Kodex und alle Änderungen an Gesetzten und des Kodex seither wurden eingearbeitet.
