Aproximación al tratamiento de las cláusulas de reducción de responsabilidad en el crédito sindicado

Abstract

El presente trabajo busca realizar una aproximación al tratamiento que tienen las cláusulas de reducción de responsabilidad en los contratos internacionales de crédito sindicado y su compatibilidad con el ordenamiento jurídico colombiano. El lector encontrará en la primera parte del trabajo un análisis de las cláusulas de reducción de responsabilidad y su validez en el sistema financiero a nivel nacional e internacional. En su segunda parte se presenta un análisis del contrato de crédito sindicado y de la aplicación de las cláusulas de reducción de responsabilidad en él, en particular en cuanto a los deberes de información y de debida diligencia del banco o bancos involucrados en el mismo. De manera transversal, el autor hace una especial mención al Derecho inglés, pues es éste el que actualmente fija el contenido de los contratos utilizados en materia financiera.
