Gobernanza corporativa en el Brasil, Colombia y México

Abstract

El crecimiento sostenido de la emisión de títulos de deuda corporativa —internacional e interna— de los últimos años abre una gran oportunidad de financiamiento para la expansión empresarial en los países de la región. La situación económica de América Latina permite inferir que la proliferación de este tipo de instrumentos facilitará su mayor utilización por las empresas. La nueva realidad amerita realizar un análisis detallado sobre este fenómeno y su potencial en el marco de una buena gobernanza corporativa. Por ello mismo, se requieren cambios en la cultura empresarial y una práctica efectiva de gobernanza. Se necesita contar con una visión integral de los negocios, donde se pondere equitativamente el papel de los órganos decisorios de la empresa, se requiere también promover algunos ajustes en la regulación que rige la emisión de obligaciones.
