Abstract

Presenta en una perspectiva más amplia, de la forma cómo se estructura la relación entre el accionista (Estado), el Directorio y la gerencia. Este documento, basado en los Lineamientos de Gobierno Corporativo de Empresas del Estado de la OECD y en los Lineamientos para un Código Andino de Gobierno Corporativo de CAF, expone las orientaciones que debe tener el Estado como accionista, donde su principal interés debe ser maximizar el valor de la empresa, en función de su propósito social, sin involucrarse directamente con su operatividad diaria.
