Es handelt sich um ein Gutachten, welches die E.ON AG in Auftrag gegeben hat, um den Antrag der E.ON AG zu überprüfen, die Kontrolle über die Ruhrgas AG zu übernehmen. Einleitend wird eine Marktübersicht über den deutschen und europäischen Gasmarkt gegeben. Anschließend wird die Argumentation des Kartellamtes dargestellt und kritisiert. Es werden die Vorteile einer Übernahme der Ruhrgas AG erörtert und Befürchtung der Kartellbehörden widerlegt. Dem Argument, dass es zu einem Marktverschluß und damit zu höheren Preisen kommen könnte, wird widersprochen. Der Zusammenschluß wird auch deshalb befürwortet, weil Deutschland so auf dem Weltmarkt der Gasindustrie auch mit einem Global Player vertreten sein würde.
