Перспективы развития комплаенса как средства улучшения корпоративного управления в российских компаниях // Compliance as a Means of Improving Corporate Governance in Russian Companies and Its Development Prospects

Abstract

The paper describes the concept of compliance as a decision-making tool and its interrelationship with corporate governance. The role of the directors’ board and the top management in the organization of compliance is outlined. The methods of organization of compliance, the functions of compliance departments and advantages of its implementation are considered. Based on the results obtained by Deloitte in their research into the organization of compliance at the largest Russian companies in 2016, it is concluded that there is a lack of a single approach to building the compliance function. The areas of compliance development in Russia are delineated and the need for specialists in the field of compliance is justified. В статье раскрываются сущность комплаенса и его связь с корпоративным управлением как инструмента принятия решений. Выделена роль совета директоров и топ-менеджмента в организации комплаенса. Рассматриваются способы организации комплаенса, функции комплаенс-подразделений, преимущества от его внедрения. На основе анализа результатов исследования компании Deloitte, организации комплаенса крупнейших российских компаний в 2016 г. сделан вывод об отсутствии единого подхода к организации комплаенс-функции. Обоснованы направления развития комплаенса в России, а также потребность в специалистах в области комплаенса.
