Abstract

Развитие рыночных отношений в России и, как следствие, образование огромного количества организаций с различными организационно-правовыми формами, породили такое понятие как «недружественное поглощение» предприятий во всех формах его проявления. Недружественное поглощение является на сегодняшний день объективной реальностью взаимоотношений участников предпринимательской деятельности. Получив за последние годы значительную распространенность практически во всех ее сферах, оно причиняет ущерб юридическим лицам, государству и обществу в целом, угрожая экономической безопасности России. При этом следует отметить, что само понятие недружественного поглощения предприятий в действующем Уголовном кодексе отсутствует. В результате чего сложилась парадоксальная ситуация: термина нет, а в реальной жизни корпоративный шантаж, захват компаний приобретает все более возрастающие значение.
