Abstract

Статья посвящена рассмотрению поэтапной оплаты уставного капитала акционерного общества как правового механизма, опосредованно закрепляющего гарантии для кредиторов. В статье проведен сравнительный анализ норм Гражданского Кодекса Российской Федерации и норм Федерального закона «Об акционерных обществах» №208-ФЗ от 26.12.1995, регулирующих данный вопрос. Автором сделан вывод, что ни один из механизмов, закрепляющих поэтапную оплату уставного капитала, не создает гарантий для кредиторов юридического лица. Автор предлагает ряд усовершенствований действующего законодательства в части раскрытия акционерными общества информации о форме и размере оплаченного уставного капитала, с целью предоставления заинтересованным лицам более подробной и достоверной информации о созданном обществе.
