Abstract

Задача: В статье речь пойдет о первоначальных стадиях слияния и поглощения компаний, наиболее важных на взгляд автора. Цель данной статьи показать насколько развито законодательство зарубежных стран в области слияний и поглощений, а также то, что заимствование зарубежного опыта поможет усовершенствовать Российское законодательство в области защиты юридических лиц от недружественных поглощений. Методы: При написании работы были использованы методы сравнения и анализа Выводы: были сделаны выводы о необходимости внесения в ФЗ «Об обществах с ограниченной ответственностью» и ФЗ «Об акционерных обществах» главы касающейся прав и обязанностей покупателя доли/акции в компании с использованием принципов прописанных в Кодекс Сити. Ценность: Статья, прежде всего, предназначена для субъектов, обладающих законодательной инициативой, однако, будет полезна юристам в области корпоративного права, так как показывает минусы действующей правовой базы.
