Abstract

в статье рассматриваются проблемы балансирования интересов миноритарных и мажоритарных акционеров. Регулирование этих интересов Российским законодательством. Процессы слияний и поглощений, виды слияний: горизонтальное, вертикальное, конгломератное, и последствия выбранной стратегии для миноритарных акционеров. Рассматривается появление новой модели централизованного управления экономикой. А также рассматриваются частные вопросы оценки бизнеса и справедливой цены акций.
