Оценка влияния сделок слияний и поглощений на фундаментальную стоимость компаний на развивающихся рынках капитала (на примере стран BRICs)

Abstract

В статье представлены результаты исследования влияния сделок слияний и поглощений на фундаментальную стоимость компаний покупателей в странах BRICS. Исследование базируется на модели остаточной прибыли (Residual Income Valuation RIV). Протестировав выборку из 366 сделок, совершенных в период с 2009 по 2012 г., мы выявили, что слияния и поглощения приводят к росту фундаментальной стоимости на акцию компаний из стран БРИКС. Также выявлены факторы, влияющие на создание или разрушение фундаментальной стоимости компаний-покупателей: размер компании, способ финансирования сделки, отраслевая принадлежность компании и способ оплаты сделки
