Abstract

В статье рассматривается китайская практика сделок по слияниям и поглощениям на внутреннем рынке и внешних рынках с участием китайских компаний. Дана характеристика разрешенных форм и моделей СиП (покупка активов, покупка зарегистрированного капитала в предприятии с иностранными инвестициями, косвенное приобретение, слияние), порядок выдачи разрешений на проведение СиП с участием зарубежного капитала. Проанализированы особенности прямого инвестирования компаний КНР за рубежом в форме СиП, в том числе этапы эволюции таких сделок, основные тенденции развития, роль СиП в стратегии китайских компаний за рубежом, факторы, содействующие их интенсификации.
