Abstract

На основе экспертного опроса и обобщения опыта построения систем корпоративного управления определены основные факторы эффективности, выделены основные конфликты интересов, которые являются актуальными для российских корпораций сегодня. Рассмотрена проблематика внедрения и адаптация традиционных методов управления корпорациями, сделан акцент на системные подходы управления, объединяющие корпоративные стратегии, компетентностные характеристики, а также ресурсный потенциал корпорации. Предложены рекомендации по повышению защиты интересов акционеров в процессе внедрения организационных независимых органов управления, способствующие уменьшению влияния негативных факторов на эффективность корпоративного управления.
