Abstract

Приведен обзор развития корпоративного права Китая, начиная с династии Цин и заканчивая последними изменениями в нём. Рассмотрены характерные черты хозяйственных обществ и товариществ КНР, проведено их сравнение с российскими аналогами, выявлены отличия в определении понятия «корпоративное юридическое лицо». Особое внимание уделено реформе положений об уставном капитале Закона КНР «О компаниях». Его минимальное значение было отменено китайским законодателем, который обосновал это поддержкой развития предпринимательской инициативы. В этой связи российскому законодателю следует рассмотреть альтернативный подход к минимальному уставному капиталу при реформировании корпоративного законодательства.
