Формы Реализации И Проявления Экономического Содержания Акционерной Собственности В Современных Условиях

Abstract

В статье представлены формы участия ключевых субъектов отношений акционерной собственности в присвоении доходов и управлении корпорацией. Выявлены экономические механизмы усиления власти акционеров без пропорционального увеличения их доли в капитале компании, роль и влияние независимых директоров, комитетов совета директоров и инсайдерского владения на динамику внутренней конфликтности акционерной собственности, установлены конкретные пропорции распределения прибыли между акционерами и менеджерами как субъектами владения и распоряжения. Раскрыты масштабы и формы проявления замещения фондов. Определена роль трансфертного ценообразования в деформации дивидендного способа распределения доходов.
