Abstract

В статье с позиций экономической теории раскрывается понятие «слияния и поглощения», определяются цели корпоративной интеграции, анализируются особенности современных концепций мотивации M&A, уточняется структура и расширяется экономическое содержание синергетического эффекта сделок М&А. Автор предлагает новую классификацию видов интеграционной синергии по возможным направлениям повышения эффективности бизнеса, систематизирует мотивы слияний и поглощений по семи направлениям генерации синергетического эффекта. Впервые анализируются обособленные группы мотивов М&А по функциональной, маркетинговой, управленческой и инновационной синергии. Автор раскрывает механизмы развития синергии, а также указывает факторы, ограничивающие ее действие.
