Abstract

L'administrateur est autorisé par l'entreprise avec les attributions de gestion et les attributions de représentation. Les administrateurs sont les plus prédisposés de causer un préjudice et même beaucoup de fois de ruiner à la société commerciale. Dans les relations d'administrateur avec la société et les associés, c'est-à-dire dans l'ordre interne, on applique les stipulations des statuts. La responsabilité juridique de l'administrateur pour la gestion erronées peut être civile, administrative et pénale.
