Le financement des infrastructures : le rôle des investisseurs financiers

Abstract

[eng] Financing the infrastructure projects : the influence of the pure equity investor . During the last ten years, the volume of infrastructure projects financed by the private sector has increased sharply. As a consequence, a considerable amount of equity has been committed, exceeding the capacity of the industrial sponsors of the projects, contractors or operators. A new actor has appeared on the scene of infrastructure development : the pure equity investor. The individual shareholders are mainly passive but some institutional investors, and notably Caisse des dépôts through its subsidiary CDC Projects, take an active part in the development of projects, holding significant equity stakes in BOT companies, directly or through investment funds. Some important financial investors even take the leadership of such companies, considering constructors and operators as simple contractors. If financial investors have a strong position in the BOT companies, they can contribute to structure the companies in such a way that there is an equilibrium between the partners of the BOTs, a real autonomy of the management of these companies, and that the company will live long. [fre] Depuis dix ans, la véritable explosion du volume des projets d’infrastructures financés par le secteur privé dans le monde s’est traduite par la mobilisation de montants considérables de fonds propres dépassant les capacités des opérateurs industriels, constructeurs et exploitants. Ceci a donné lieu à l’apparition d’un nouvel acteur, l’investisseur financier en fonds propres. A côté des « petits porteurs » d’actions qui n’ont qu’un rôle passif, des investisseurs institutionnels, et notamment la Caisse des dépôts à travers sa filiale CDC Projets, participent désormais activement au développement des projets, en prenant directement ou à travers des fonds d’investissement des participations significatives en fonds propres dans les sociétés concessionnaires. Il arrive même que certains investisseurs financiers importants constituent eux-mêmes des sociétés concessionnaires sans constructeurs ni exploitants, réduisant ceux-ci au rang de simples prestataires. S’ils sont suffisamment forts, ils peuvent être garants de l’équilibre des pouvoirs entre les partenaires de la concession, de l’existence d’une véritable maîtrise d’ouvrage indépendante et respectée, et de la pérennité de la concession sur le très long terme.
