Abstract

[fre] L’offre de service en «fusions-acquisitions» par les banques d’affaires évolue au rythme des nouvelles contraintes des entreprises : «benchmarking» au niveau mondial, prise en compte de l’impact global des opérations au-delà de leur seul aspect stratégique, prise en compte du facteur «temps». L’organisation traditionnelle des banques a largement laissé la place à une organisation matricielle complexe, couvrant géographies, secteurs industriels et domaine d’expertise. L’offre de fusions-acquisitions est davantage intégrée verticalement et horizontalement et devient lentement, mais sûrement, un produit parmi d’autres dans la palette des services offerts dans le cadre du «one stop shopping». The services offered by Investment Banks in the domain of mergers and acquisitions evolve with new constraints met by the corporate world : global benchmarking, assertion of total impact of operations rather than sole strategic impact, timing rationale. The banks’ traditional organization has widely been replaced by a complex matrix where geography, industrial sectors and expertise domains can be taken into account. The «mergers and acquisitions» offer is now more vertically and horizontally integrated and slowly but surely becomes nothing more than a product among others in the range of services provided as part of «one stop shopping».
