Abstract

Auch nach dem positiven Zeugnis der wissenschaftlichen Mitglieder der Biedenkopf II-Kommission geht die Debatte um die Zukunft der Unternehmensmitbestimmung weiter. Dabei verweisen die Kritiker auf den vermeintlichen Standortnachteil der Mitbestimmung und fordern ihre "Anpassung an Europa". Diese kaum verklausulierte Forderung nach dem Abbau demokratischer Teilhabe übersieht, dass die Mitbestimmung als Prinzip der Arbeitnehmerpartizipation in Europa anerkannt ist; ihr Abbau würde den Zielvorstellungen des EG-Vertrages und dem Konzept der europäischen Sozialpolitik zuwider laufen. Auch in ökonomischer Betrachtung findet sich kein Argument gegen die Mitbestimmung; im Gegenteil wird ihre Funktion als Korrektiv zum schrankenlosen Shareholder Value immer wichtiger. Um den Herausforderungen auf gleicher Augenhöhe begegnen zu können bedarf es jedoch einer gesetzlichen Weiterentwicklung der Unternehmensmitbestimmung, insbesondere im Sinne der Erstreckung der deutschen Mitbestimmung auf die in Deutschland tätigen Unternehmen ausländischer Rechtsform sowie durch die Einführung eines gesetzlichen Mindestkataloges zustimmungspflichtiger Geschäfte.
