Abstract

Il Bundeskartellamt si accinge a portare a conclusione un'istruttoria aperta, nei primi mesi del 2016, nei confronti di Facebook: l'illecito ipotizzato è un abuso di posizione dominante consistente nell'imposizione di condizioni generali di contratto abusive perché in contrasto con la disciplina sulla protezione dei dati personali. Di là del problematico nesso «privacy-antitrust», la clausola tradizionalmente negletta dell'art. 102 Tfue viene così rivisitata in una prospettiva insolita, non solo in quanto non attinente al prezzo, ma perché ripropone, per una traiettoria che passa attraverso l'abuso di dipendenza economica e il controllo di contenuto delle condizioni contrattuali (con le sue ovvie implicazioni con il diritto dei consumatori), una risalente teorizzazione del fenomeno dei contratti di adesione.
