The Case of Unilever Under the Spotlight of the Court of Justice (Alias the Fine Line Between Use and Abuse of Distribution Agreements)

Abstract

Con una recente ordinanza, il Consiglio di Stato ha rimesso alla Corte di Giustizia una questione pregiudiziale inerente alla determinazione dei criteri necessari per ritenere sussistente un’unica entità economica al di fuori dell’ipotesi di controllo societario e, in particolare, nell’ambito dei contratti di distribuzione. Il caso Unilever, da cui trae le mosse la pronuncia segnalata, appare di particolare interesse in quanto l’abuso di posizione dominante contestato alla multinazionale si sarebbe esplicato in una serie di condotte poste in essere sul mercato dai suoi concessionari, soggetti formalmente autonomi e distinti, mediante l’apposizione di particolari clausole di esclusiva e fidelizzanti nei contratti di concessione di vendita. Il contributo si propone di segnalare come, in siffatte fattispecie, si possa configurare un abuso dei contratti di distribuzione, nella misura in cui gli stessi divengono strumentali al conseguimento di uno scopo anticoncorrenziale.
