«Downstream» Omnibus Guarantees Based on an Anticompetitive «Upstream» Agreement: Old and New Issues

Abstract

Muovendo dall’esame della sentenza n. 41994/2021 delle sezioni unite della Corte di Cassazione, sul tema della validità dei contratti di fideiussione omnibus stipulati in conformità al c.d. «Modello Abi» (i.e. lo schema contrattuale standard redatto dall’Associazione Bancaria Italiana e ritenuto parzialmente anticoncorrenziale dalla Banca d’Italia – responsabile dell’enforcement antitrust in ambito creditizio – nel maggio 2005), l’Autore esamina le problematiche relative all’onere della prova gravante sul fideiussore che rivendica la nullità del contratto di garanzia «a valle». Alla luce della recente giurisprudenza, il contributo si propone di individuare il thema probandum in tali giudizi di nullità, soffermandosi sul valore probatorio della decisione della Banca d’Italia n. 55 del 2 maggio 2005 e sull’opportunità di adottare meccanismi presuntivi, volti ad alleviare l’onere della prova a carico del garante. Infine, l’Autore analizza criticamente le argomentazioni della decisione delle sezioni unite, fondate su una interpretazione poco convincente dell’art. 1419 c.c.
