The (Visible) Fil Rouge Between Competition Restrictive Agreement and the Downstream Contracts

Abstract

Ancora una volta, la sorte dei contratti stipulati a valle dell’intesa anticoncorrenziale tiene banco presso le Sezioni Unite. L’indagine si snoda alla ricerca dell’inquadramento sistematico di quello che la Suprema Corte definisce «collegamento funzionale » che intercorre tra l’una e gli altri. L’autrice ricorre al concetto di «integrazione» del contratto a valle, nel quale rifluisce il contenuto dell’intesa a monte, con evidente limitazione dell’autonomia privata, ancorché i due atti restino perfettamente indipendenti sotto il profilo strutturale. L’intesa si pone quale fonte eteronoma del contenuto del contratto, il quale, a sua volta, ne diventa strumento di attuazione. In quest’ottica trova la sua giustificazione la «propagazione» della nullità dall’intesa al contratto che la attua, come affermato dalla Corte, nel procedere sul percorso già tracciato in precedenza, laddove la nullità del contratto (private enforcement) viene posta al servizio dell’ordine pubblico economico e della tutela del mercato.
