Abstract

Berbagai studt yang dilakukan oleh, beberapa di aniaranya, Stiglitz (1972), Jensen dan Long (1972), Dreze (1974), serta Grossman dan Hart (1979) menunjukkan bahwa secara umum bursa efek agaknya cenderung tidak dapat menjamin terwujudnya mekanisme pengambilan keputusan baik ditinjau dari sudut produksi maupun konsumsi yang mengarah kepada tercapainya suatu efisiensi-pareto. Dari sini maka salah satu pertanyaan penting yang mungkin timbul adalah tentang, paling tidak secara metodis, bagaimana mela­ kukan spesifikasi terhadap suatu decentralized behavior pada unit-unit produksi yang mengarah kepada mekanisme alokasi sumber daya yang bersifat efisien-pareto tersebut. Pertanyaan yang demikian ini menjadi sangat mustahak karena di Indonesia, beberapa tahun terakhir ini, seperti yang telah terjadi sejak lama di banyak negara maju, makin timbul suatu kecenderungan bahwa perusahaan-perusahaan dikelola oleh para manajer profesional yang bukan pemilik dan perusahaan-perusahaan yang bersangkutan itu. Dengan adanya pemisahan institusional antara owners of the resources dengan managers of the resources tersebut maka suatu spesifikasi terhadap seperangkat kaidah investas yang bersifat efisien-pareto pada gilirannya akan dapat dijadikan sebagai kerangka acuan bagi menilai sejauh mana para manajer professional yang bersangkutan telah bertindak optimal, baik ditinjau dari segi kepentingan pemilik perusahaan maupun dari segi kepentingan umum
