Yabancı hissedarlık ve kurumsal yönetim

Abstract

Bu çalışmada, şirket sahiplilik yapısı kapsamında yabancı hissedarlık ve kurumsal yönetim sistemi ilişkisi irdelenerek, yerli hissedarlara nazaran farklı güdü ve beklentilere sahip yabancı hissedarlar ile kurumsal yönetim sistemi arasındaki etkileşim modellenmiştir. Kurumsal yönetim yapısındaki değişimi tetikleyen pek çok faktör olmasına rağmen bu çalışmada, yabancı sermaye girişi ile kurumsal yönetim sisteminde oluşan farklılaşmaya odaklanılmıştır. Literatürdeki çalışmalar kurumsal yönetim sisteminin, yabancı hissedarlık ve büyük hissedarlık kavramları ile vekil çatışmasından kaynaklanan maliyetlerden etkilendiğini ve buna ilişkin alternatif kurumsal yönetim mekanizmalarının geliştirildiğini ortaya koymaktadır. Yabancı sermayedar, sahip olduğu yabancı hissedarlık kimliği ile birlikte çoğunlukla kazandığı büyük hissedarlık statüsünün de doğal bir sonucu olarak, vekil çatışmasından ve yabancı bir ülkede yaptığı yatırımdan dolayı üstlenmek durumda kaldığı ilave risk ve maliyetlerini en aza indirme ve yatırımını koruma güdüsüyle sahip olduğu sermaye gücü ile orantılı olarak kurumsal yönetim sistemini değiştirmekte veya en azından etkilemektedir. Böylece, ülke genelinde yabancı hissedarların ve bunların şirketler üzerindeki kontrol güçlerinin artması ile birlikte, kurumsal yönetim kültüründeki değişim daha belirgin hale gelebilecektir.
