Kurumsal yönetim açısından sahiplik ve kontrol yapısı ile üst düzey yönetici durumunun İMKB’de faaliyet gösteren bankalarda incelenmesi

Abstract

Kurumsal yönetim firma sahipliği ile yönetim arasındaki ilişkiler sistemini temsil etmektedir. Bankaların ekonomi ve mali yapıdaki üstlendikleri görev ve mudilerin haklarının korunması, sisteme olan güvenin sarsılmaması ve istikrarın bozulmaması açısından bankalarda kurumsal yönetim oldukça önemlidir. Sermaye sahipliği yapısının, kurumsal yönetim yapısında ve şirket performansında önemli bir belirleyici olduğu bilinmektedir. Bu çalışma İMKB’ye kote ticari bankalarda sahiplik yapısının ve kontrolünün banka performans ölçümünde kullanılan oranlarla ilişkisi Varyans analizi ile incelenmiş ve aile, holding ve dağınık sermayeli bankaların değişkenlerinde farklılık olup olmadığı analiz edilmiştir. Ayrıca genel müdürün sermaye sahibi ve yönetim kurulu üyesi olup olmamasının bankaların rasyolarında farklılığa neden olup olmadığı bağımsız örneklem t testi ile incelenmiştir. Sonuçta aile ve holding bankacılığının çok farlılık içermediği fakat dağınık sermayeli ve kontrolü olan bankaların diğer bankalardan farklılaştığı tespit edilmiştir.
