Türkiye’de Birincil Halka Arz Uygulamalarının Analizi

Abstract

Halka arz finansman ihtiyacını karşılamak amacıyla şirketlerin hisse senetlerini tanıtım faaliyetleri yardımıyla yatırımcılara satışıdır. Şirketler halka arz faaliyetleri sonucunda bilançoda yeralan özkaynak miktarını artırmak suretiyle uzun vadeli yatırımlar gerçekleştirerek rekabetçi avantaj elde etmektedir. Bu çalışmada, 1990-2000 döneminde Türkiye’de gerçekleştirilen uygulamalarda halka arzda kullanılan yöntemler, aracılık ve satış yöntemleri incelenmiş olup, sektörel bazda da hisse senetlerinin birincil halka arzı araştırılmıştır. Çalışmanın sonucunda on yıl içerisinde halka açılma sayısının 1990 ve 2000 yıllarında yoğunlaştığı, 1994 –1997 döneminde birincil halka arz faaliyetlerinde önemli oranda artış oluştuğu belirlenmiştir. 2000 yılı birincil halka arz faaliyetleri açısından parlak bir yıl olarak gerçekleşmiştir. Sektörel incelemede Turkcell’in halka arzı sonucunda toplam arz miktarının yaklaşık %30 düzeyinde bir hasıla elde edildiğinden, diğer sektörlerin hasılaları toplamın %1-5’i aralığında gerçekleştiği belirlemiştir. Söz konusu dönemde halka arz şekli açısından ortak satışı, aracılık yüklenimi bağlamında bakiyeyi yüklenim ve satış yöntemi olarak sabit fiyatla talep toplama yöntemi en fazla kullanılan uygulamalar olmuştur.
