Societ? con azioni quotate. Le grandi linee della disciplina (e le garanzie di tutela dell?azionista risparmiatore) (di Mario Bessone) - ABSTRACT: All?ordinamento delle societ? con azioni quotate si deve guardare con l?attenzione necessaria per apprezzare tutti i caratteri distintivi di un nuovo tipo sociale, gi? immediatamente visibili se soltanto si considerano a titolo esemplificativo, tra il gran numero delle disposizioni di deroga alle discipline generali, la configurazione di una particolare categoria di azioni quali sono le azioni di risparmio, il particolare regime delle assemblee e delle azioni di responsabilit? degli amministratori, la normativa a garanzia della trasparenza delle attivit? sociali e delle propriet? azionarie che costituiscono "partecipazioni rilevanti" per la loro consistente entit?. L?esposizione delle grandi linee della disciplina delle societ? "quotate" ? volta ad indicare il complessivo orientamento di politica del diritto ed i principali punti di emersione e di incremento delle garanzie di tutela delle minoranze azionarie (specialmente se costituite da azionisti "risparmiatore").
