Abstract

El 11 de marzo de 2003 Gas Natural SDG (GN) acordó lanzar una OPA (Oferta pública de Adquisición a Acciones) sobre Iberdrola, que fué notificada al Servicio de Defensa de la Competencia (SCD) el 14 de marzo de 2003, y tuvo su entrada en el Tribunal de Defensa de la Competencia (TD) el 24 de Abril de 2003. Esta responde a las tendencias que se estan produciendo ya en otros países, debido a la convergencia de los negocios de gas y electricidad. La OPA fue inmediatamente considerada hostil por la empresa eléctrica y sus principales accionistas. En este trabajo se analiza pormenorizadamente dicha operación, así como sus implicaciones para la futura competencia en el gas y en la electricidad, o la oportunidad que representa para la reestructuración empresarial del sector energético.
