Abstract

(VF)L’objectif de cet article est de construire un modèle expliquant le rôle de la gouvernance d’entreprise dans les diversifications des entreprises suite à deux revues de la littérature. La première synthétise les études liant les systèmes de gouvernance d’entreprise et les diversifications, la seconde les mécanismes de gouvernance d’entreprise et ces mouvements stratégiques, dans le courant disciplinaire et cognitif de la gouvernance d’entreprise. Des propositions sont formulées. Des lacunes ressortent de ces synthèses que nous tentons de surmonter en développant des perspectives. Les propositions et ces pistes nous permettent d’élaborer un modèle du rôle des systèmes de gouvernance dans les diversifications.(VA)The aim of this article is to build a model explaining the role of corporate governance in corporate diversifications following two literature reviews. The first synthesizes research studying the links between corporate governance systems and diversifications, the second examines corporate governance mechanisms and diversifications, according to the disciplinary view and the knowledge-based view of corporate governance. Propositions are made. Some limits of this overview are pointed out. To go further we develop prospects. The propositions and prospects formulated enable us to build a model of the role of corporate governance on diversifications.
