Mergers and Acquisitions and Economic Development: A Theoretical and Empirical Review of Productivity, Innovation, Employment and Market Structure

Abstract

Mergers and acquisitions (M&A) are important mechanisms of corporate restructuring and resource reallocation, with potential implications for economic development through productivity, innovation, employment, market structure, investment, and knowledge transfer. This paper provides a theoretical and empirical review of the relationship between M&A and economic development, focusing particularly on productivity, innovation, employment, and market structure. The analysis is anchored on Neoclassical Efficiency (Synergy) Theory, Schumpeterian Creative Destruction Theory, Dunning’s Eclectic (OLI) Paradigm, and Agency Theory. The review shows that M&A can enhance economic development by generating economies of scale, improving resource allocation, transferring managerial and technological capabilities, facilitating innovation, and supporting capital and knowledge flows, particularly through cross-border acquisitions. However, the evidence also indicates that M&A may produce employment displacement, organizational disruption, and excessive market concentration. The developmental effects are therefore conditional on the nature and motivation of transactions, post-merger resource allocation, technological capabilities, labor-market effects, and the regulatory and competitive environment. The paper concludes that M&A should be assessed not merely by transaction size or firm-level financial performance, but by its contribution to productivity, innovation, employment, technological upgrading, consumer welfare, and competitive market structures.
