Praxeological dimension of corporate social responsibility (CSR) is a research field that questions the scientific community for over twenty years. In light of the concept of CSR, spin-offs practice appears to be original, because commonly associated with restructuring plans. Through the case study of an industrial CAC 40 company, we try to understand how spin-offs practice and established companies it involves, participate in the development of human capital and local development of territories. To do this, we propose a theoretical model of spin-off as CSR practices. We test this model on criteria of legitimacy and factors of motivation, taking into account the expectations of employees and communities, and effective practice. We use a mixed methodology (Thiétart, 2007), both from experts swarming and former employees of the industrial company who have undertaken an entrepreneurship project. Finally, our study shows that it is generally appropriate to understand the spin-off in terms of CSR, but some of the observed effects are more explained by positive consequences than a real commitment to the company, at least in this case.
