Abstract

Der vorliegende Beitrag nimmt die neuere Rechtsprechung zu Genossenschaften in Insolvenz und Liquidation zum Anlass, die Grundsätze der fehlerhaften Gesellschaft in den Blick zu nehmen. Deren drastische Rechtsfolgen - Fortgeltung der Pflicht der Genossenschaftsmitglieder zur Zahlung rückständiger Einlagen und Kündigungsmöglichkeit der Gesellschaft lediglich für die Zukunft - werden durch diese Rechtsprechung erneut vollumfänglich bestätigt. Umstritten ist jedoch die Befugnis des Insolvenzverwalters zur Geltendmachung rückständiger Pflichteiträge, sofern das Gesellschaftsvermögen zur Befriedigung der Gesellschaftsgläubiger ausreicht. Ferner wird untersucht, ob investierende Mitglieder ihren Zeichnungsschaden gegenüber dem für die Gründungsprüfung zuständigen genossenschaftlichen Prüfverband geltend machen können. Diese Möglichkeit scheitert regelmäßig an den sehr strengen Haftungsvoraussetzungen.
