Genossenschaften und Kartellrecht 2021: Bestandsaufnahme mit Blick auf die neuen Leitlinien des Bundeskartellamts

Abstract

Der vorliegende Beitrag geht auf einen Vortrag zurück, den der Verfasser am 17. September 2021 auf dem Bankentag in Nürnberg gehalten hat. Anlass war der im Mai 2021 vorgelegte Leitlinienentwurf des Bundeskartellamts (BKartA) zu diesem Thema. Themen des Beitrags sind Normadressateneigenschaft von Genossenschaften, die Vorgaben des Kartellrechts für horizontale und vertikale Kooperationen, das Verhältnis des Kartellrechts zur Innovation, das Problem des Informationsaustauschs unter Wettbewerbern, die umstrittene Frage der Vereinbarkeit des sog. Regionalprinzips mit den Vorgaben des europäischen und deutschen Kartellrechts und die Rechtsfolgen etwaiger Kartellrechtsverstöße. Außerdem geht der Verfasser auf die Neuregelung des § 32c Abs. 4 GWB ein, die zu Beginn des Jahres durch das GWB-Digitalisierungsgesetz eingeführt wurde (§ 32c Abs. 4 GWB). Danach besteht unter bestimmten Voraussetzungen ein Anspruch der Betroffenen auf eine Entscheidung des Amtes über die Kartellrechtskonformität eines geplanten Vorhabens.
