Abstract

Bei der Ausübung befristeter Gestaltungsrechte stellt sich die Frage, auf wessen Kenntnis hin ein Fristbeginn einsetzt– Genügt die Kenntnis einzelner Organmitglieder oder ist sogar die Kenntnis mehrerer Organe erforderlich? Diese Frage wird bei der außerordentlichen Kündigung von Organmitgliedern relevant. Denn das Kündigungsrecht ist durch § 626 Abs. 2 BGB befristet. Der Beitrag beschäftigt sich damit, welches Organ für die außerordentliche Kündigung von Vorstandsmitgliedern einer Genossenschaft zuständig ist und wann die Kündigungsfrist zu laufen beginnt.
