Abstract

Recently, the (allegedly resolved) question arose increasingly how qualified approvals in favour of a cooperative’s supervisory board can be installed. Other than in stock cor­porations, qualified approvals cannot be simply laid down by the supervisory board due to cooperatives’ law. We show, using the example of a goods cooperative, under which conditions the granting of payment targets can be made dependent from a qualified approval of the supervisory board.
