Abstract

Das deutsche Aktiengesetz und die in seinem Umfeld angesiedelten Rechtsvorschriften widmen sich in großer Ausführlichkeit dem Anliegen des Minderheitenschutzes; dies gilt insbesondere für gesellschaftsrechtliche Vorgänge, die eine Aktiengesellschaft vom Einfluß eines Großaktionärs abhängig machen. Man kann sich jedoch des Eindrucks nicht erwehren, daß in Gesetzgebung, Rechtsprechung und juristischer Literatur der Überblick über den ökonomischen Sinn des Minderheitenschutzes verlorengegangen ist. Diese generelle Diagnose soll im folgenden anhand der Vorschriften verdeutlicht werden, die den Minderheitenschutz im sogenannten Vertragskonzern regeln.
