Private Enforcement des Marktmanipulationsverbots – Haftung bei Verstößen gegen Art. 15 MAR?

Abstract

Die Neuregelung des Marktmanipulationsverbots in Art. 15, 12 MAR hat seit einigen Jahren (erneut) die Diskussion entstehen lassen, ob eine zivilrechtliche Haftung desjenigen, der gegen das Manipulationsverbot verstößt, angezeigt ist. Im deutschen Recht könnte sich eine solche Haftung primär bei einer Qualifikation von Art. 15 MAR als Schutzgesetz i. S. d. § 823 Abs. 2 BGB ergeben. Neben den Erwägungen rund um einen Individualschutz des Marktmanipulationsverbots sind jedoch zugleich auch die unionsrechtlichen Grundlagen in die Betrachtung mit einzubeziehen. Insofern stellt sich insbesondere die Frage, ob und wie sich diese in das Gesamtsystem des deutschen Deliktsrechts einfügen. Neben allgemeinen deliktsrechtlichen FragestellunFragestellungen gen sind somit zugleich das Zusammenspiel von Unionsrecht und nationalem Recht sowie die Auswirkungen des Unionsrechts auf das deutsche Deliktsrecht angesprochen.
