Abstract

Durch den jüngst vom XI. Zivilsenat statuierten Vorrang der spezialgesetzlichen gegenüber der bürgerlich-rechtlichen Prospekthaftung rückt insbesondere die spezialgesetzliche Prospekthaftung wegen unterlassener Prospektveröffentlichung in den Fokus von Anlegerprozessen. Dort kommt es aber wegen eines grundlegenden Missverständnisses der h. M. zu einer erheblichen Haftungsschieflage. Der vorliegende Beitrag räumt die Fehlvorstellungen der h. M. aus. Abzustellen ist auf ein einheitliches System der spezialgesetzlichen Prospekthaftung als Kapitalmarktinformationshaftung, das allein gleichermaßen eine ausgewogene Anbieterhaftung wie einen angemessenen Anlegerschutz gewährleistet.
